1. Agreement to Terms

By accessing or using API-Direct ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

API-Direct provides a platform for developers to deploy, manage, and monetize APIs. The Service includes:

• API deployment and hosting
• API marketplace for discovery and monetization
• Usage analytics and billing
• Developer tools and CLI

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

4. API Deployment and Usage

4.1 Your APIs

You retain all rights to the APIs you deploy. By deploying APIs, you grant us a license to host, store, and distribute your APIs as necessary to provide the Service.

4.2 Acceptable Use

You agree not to deploy APIs that:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Contain malicious code or malware
• Facilitate illegal activities
• Violate privacy rights

4.3 API Availability

While we strive for high availability, we do not guarantee 100% uptime. We are not liable for any downtime or service interruptions.

5. Marketplace and Monetization

5.1 Listing APIs

When listing APIs on our marketplace, you must provide accurate descriptions and pricing information.

5.2 Revenue Sharing

For paid APIs, we charge a platform fee of 20% of gross revenue. Payments are processed monthly via Stripe Connect.

5.3 Refunds

API consumers may request refunds within 7 days of purchase if the API does not function as described.

6. Payment Terms

6.1 Subscription Plans

Subscription fees are billed monthly in advance. All fees are non-refundable except as required by law.

6.2 Usage-Based Billing

Usage beyond plan limits is billed at the end of each billing cycle at published rates.

7. Intellectual Property

The Service and its original content (excluding user-deployed APIs) are and will remain the exclusive property of API-Direct and its licensors.

8. Privacy

Your use of the Service is also governed by our Privacy Policy.

9. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Breach of these Terms
• Fraudulent or illegal activities
• Non-payment of fees

10. Disclaimer of Warranties

The Service is provided "AS IS" without warranties of any kind, either express or implied.

11. Limitation of Liability

In no event shall API-Direct be liable for any indirect, incidental, special, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold harmless API-Direct from any claims arising from your use of the Service or violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service constitutes acceptance of modified Terms.

14. Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.
